Jamie P. Dreher
Partner, Downey Brand
Jamie Dreher has extensive experience in representing both secured and unsecured creditors, as well as debtors, in corporate reorganizations and Chapter 11 bankruptcy cases. In addition to representing companies and individuals as lead trial counsel in state and federal court litigation and bankruptcy courts, Jamie is frequently called on to counsel clients facing insolvency-related issues. He is closely involved with negotiating and documenting loan workout agreements and related documentation.
Jamie frequently represents commercial landlords and commercial lenders in pursuing defaulted or distressed obligations, including both judicial and non-judicial enforcement mechanisms, suits and arbitrations enforcing guarantees, and foreclosures of deeds of trust. Jamie has also developed a special expertise in the drafting and enforcement of security interests, personal property foreclosures, and the intricacies of mixed collateral foreclosures.
Jamie represents clients throughout California, Nevada, and in major bankruptcy cases pending nationwide.

Gregg D. Josephson
Counsel, Downey Brand
Gregg D. Josephson, the former General Counsel and Corporate Secretary of First Fed Financial Corporation/First Federal Bank of California, where he served as the chief legal counsel for all bank operations. In his current practice of Corporate and Finance law, Mr. Josephson focuses on representing lenders and borrowers in a variety of financing transactions, including asset-based loans, bridge loans, real estate and construction loans, as well as workouts and restructurings.

In the areas of banking, restructuring and bankruptcy, Mr. Josephson has represented numerous creditors and debtors in complex Chapter 11 bankruptcy proceedings with national experience representing defendants in avoidance actions, bankruptcy retention, fee related issues, plan confirmation trials and appeals, and claims allowance litigation. He has represented debtors and creditors on numerous Chapter 11 cases including: Enron Corp. bankruptcy filing and counsel to, Trump Hotel & Casino Resorts Chapter 11 case and Worldcom, to name a few.

Brandon Williams
Associate, Downey Brand
Brandon Williams specializes in real estate acquisitions, development, leasing, and workouts. He represents lenders and borrowers in foreclosures and workouts of both institutional and seller carry-back real estate loans and has extensive experience with the disposition of distressed assets, including assets coming out of bankruptcy.

On the transactional side, Brandon works with his clients to efficiently structure, negotiate, and document deals and strategies for all types of real estate, including retail, office, industrial, residential, mixed-use, redevelopment, in-fill, mining, agricultural, distressed, conservation or mitigation, renewable energy production, and bare land. He has drafted and negotiated agreements in all these contexts, including purchase and sale agreements, leases, listing agreements, development agreements, easements, CC&Rs, and option agreements. He has extensive experience with complex title work, closings, and developing and documenting specially tailored structures for unique transactions.

Brandon is a Director-at-Large for the Association of Commercial Real Estate (ACRE) and has written the "Legal Tips" column for the ACRE newsletter. He is the proud father to four boys.
